NG Digital Design provides web design, development, SEO, branding, marketing, photography, and related digital services. Specific project terms, deliverables, and timelines will be outlined in a written proposal, statement of work, or contract between us and the client (“you,” “your”).
You agree to:
Provide accurate and complete information necessary for project completion.
Respond promptly to requests for content, feedback, and approvals.
Obtain necessary rights, licenses, and permissions for any content you provide to us.
Ensure any materials provided do not infringe on third-party rights or violate laws.
Failure to provide requested materials or approvals in a timely manner may result in delays or additional charges.
Payment terms will be set out in your proposal or contract.
Unless otherwise stated, a deposit is required before work begins, with the balance due upon project completion or as specified in milestones.
Late payments or no payments at all may incur suspension of services and work being taken down and/or offline.
Client Materials: You retain ownership of any content you provide to us. You grant us a non-exclusive, royalty-free license to use such content for the purpose of delivering services.
Our Work: Unless otherwise agreed in writing, we retain ownership of any proprietary tools, code, or methods used in your project. Upon full payment, you receive a license to use the deliverables for their intended purpose.
Portfolio Rights: We reserve the right to display completed work in our portfolio, marketing materials, and case studies unless you request otherwise in writing.
The project fee includes a set number of revisions as stated in your proposal. Additional revisions or scope changes outside the agreed scope may result in additional charges or a number of work hours mutually agreed upon. This will be invoiced when both parties have agreed to the terms and proposal.
We may recommend or integrate third-party tools or services (e.g., hosting, plugins, payment gateways). We are not responsible for the functionality, security, or performance of these third-party services.
To the fullest extent permitted by law:
We are not liable for indirect, incidental, or consequential damages.
Our total liability for any claim related to our services will not exceed the amount paid by you for the specific service giving rise to the claim.
We do not guarantee specific results (e.g., search engine rankings, traffic, sales).
Our services are provided “as is” without warranties of any kind, express or implied, except as specifically stated in your contract. We are not responsible for errors or downtime caused by third-party services, user modifications, or changes outside our control.
We agree to keep your proprietary information confidential and only use it for the purpose of delivering agreed-upon services.
Either party may terminate the agreement with written notice. If terminated before completion, you will pay for all work completed up to the termination date. Deposits are generally non-refundable unless otherwise stated.
These Terms are governed by and construed under the laws of the State of North Carolina, without regard to conflict of law principles.
We may update these Terms from time to time. The updated version will be posted on our website with the “Effective Date” revised. Continued use of our services constitutes acceptance of the updated Terms.
